Starting a business / Investment registration

    MISA investment registration.
    Your route into Saudi.

Who will invest? What will the business do? Start with those two decisions, then prepare the right application—not a generic document pack.

    Who will be the investor?

    Check your setup route
    Corporate investor

    An overseas company

Regular registration for a Saudi subsidiary owned by the foreign company—not by you personally.

Agree the proposed shareholder before collecting its records.

    Individual investor

    A Premium Residency holder

A qualifying individual route without a foreign parent company. Investment registration still applies.

An ordinary residence permit alone does not establish eligibility for this route.

    Entrepreneur registration

    A supported innovative startup

For a scalable venture with support from a Ministry-approved organisation—not every new business.

Check support eligibility before choosing this route.

Saudi or fully GCC-owned? Use the domestic company-formation route. Foreign ownership within a GCC company needs a separate assessment. See the ownership routes.

    The second decision

Match the route to the activity.

    Find your activity code

Check the exact activity’s capital, partner and approval conditions. Professional, trading and restricted activities need closer review; do not assume that one ownership rule fits all.

This guide focuses on Saudi-company setup. Branches, headquarters and other specialist registrations need their own assessment.

    Before you certify documents

    Saudi-mission attestation or Apostille?

Start with the issuing country and document type. Confirm the required document form with MISA before paying for certification.

    Where consular legalisation is required

    Saudi mission abroad

Follow the relevant Saudi embassy or consulate’s attestation instructions, including any required local certifications.

MISA’s published checklist names Saudi-embassy authentication for the foreign-company registration and last fiscal year’s financial statements.

    Where the Apostille Convention applies

    Apostille in the issuing country

For covered public documents, obtain an Apostille from that country’s competent authority. The Convention must be in force between that country and Saudi Arabia.

An applicable Apostille replaces consular legalisation—not the document’s substantive requirements. A private company document may first need notarial certification.

Alternative routes—not a double requirement. Do not assume every corporate document is eligible for an Apostille. Check its scope and the accepted original, copy or notarised form before preparing the file.

    Authentication is not translation.

MISA’s FAQ says translation is not required for its submission; other authorities may ask for it. Confirm the accepted authentication route before commissioning documents.

    Keep the applicant consistent.

Use matching owner, activity and representative details across the application. Keep incorporation and bank-document requests in separate lists.

    Capital & activity conditions

    Check the investment category.

Capital is business funding, not a registration fee. Keep activity and company-form conditions separate from the cost of filing.

    • Trading can carry specific capital and investment conditions.
    • Professional or restricted activities need a partner and approval check.
    • Do not use a planner estimate as proof of eligibility.

    1. Before submission

Collecting evidence and resolving activity conditions.

    2. During review

Clarifications, additional evidence and authority decisions.

    3. After registration

Company formation, premises and operating permissions.

The manual gives different payment windows in different sections. Confirm the applicable deadline with MISA; do not rely on a universal payment period.
