Starting a business / The ownership guide

    Foreign ownership in Saudi Arabia.
    Know where you stand.

Can you own the whole business? For eligible activities and investors, yes. Whether that works for you depends on who invests, what the business does and the conditions attached.

01 / Start with the investor

    Who will own the business?

    Start with the proposed shareholders.
    Not just where they live.

    Corporate investor

    An overseas company

Check the foreign entity’s eligibility and the registration category for its intended activity.

    Look one level deeper

Map the owners behind the company, not only the name on its registration.

    Prepare the investment route
    Individual investor

    A foreign individual

MISA identifies Premium Residency holders as eligible applicants. Other individual or specialist routes need their own eligibility check.

    Do not assume

An ordinary residence permit alone does not establish an investment route.

    Saudi / GCC ownership

    A Saudi or GCC investor

Eligible Saudi and wholly GCC-owned businesses can use the domestic route. Check the ownership chain before relying on GCC status.

    Check foreign participation

A GCC-registered company with foreign shareholders needs a separate ownership assessment.

02 / Read the conditions together

Do you need a Saudi partner?

There is no single answer for every sector.
A broad label such as “consulting” is not enough.

    Full foreign ownership

A Saudi partner may not be required.

Where the activity and investor qualify, the company may be wholly foreign-owned.

    • Confirm the exact activity and registration category.
    • Check capital, experience and other category conditions.
    • Check any separate regulator requirements.

    Participation or professional conditions

    Specific ownership conditions may apply.

Some routes require Saudi participation, licensed partners or specific qualifications. Agree the structure only after checking those rules.

    • Confirm the required partner status and share.
    • Check professional licences—not just nationality.
    • Check whether a specialist foreign-owned route exists.

    A separate question

Is the activity open to investment?

Partner conditions and activity restrictions can apply together.

    Available activity
Check eligibility and sector conditions. “Available” does not remove licensing requirements.
    Restricted activity
Obtain the required prior approval. Restricted is not the same as prohibited.
    Prohibited activity
Do not treat it as an ordinary registration route. Check the current official list and scope.

Check the exact ISIC activity, not an old general list of open or closed sectors.

03 / One distinction worth a closer look

    Professional activities.
    Different routes, different conditions.

These are selected examples—not a complete professional-licensing checklist.

    Mixed professional company

    Licensed partners matter.

The Ministry of Commerce’s incorporation service specifies these minimums for the mixed professional route:

    Licensed Saudi partners
    25%minimum participation
    Licensed partners overall
    70%minimum participation

The Saudi licensed share forms part of the licensed total. These are overlapping conditions, not percentages to add together.

Professional activity with a Saudi partner

    Match the professional field.

MISA’s table requires local and foreign professional partners to be licensed in the same field; a non-professional partner’s share cannot exceed 30%.

    100% foreign engineering consultancy

A specialist route, with an established track record.

The published category lists presence in four countries and at least ten years of experience.

    100% foreign legal activity

    A separate approval requirement.

The published category requires an approval letter from the Ministry of Justice.

“Consulting” is not a licensing category on its own. Identify the actual profession, then confirm the applicable route, qualifications and regulator approval before agreeing the shareholding.

    04 / Before you commit

    Define the route.
    Then prepare the paperwork.

Use this list before agreeing shares, committing capital or signing a lease.

05 / Once the ownership route is clear

    Move from the decision
    to the right next step.

    Some sector approvals come earlier.
Plan those dependencies from the start.

      Investment registration

Complete the MISA route where required. Prepare its investor-specific evidence.

      Read the MISA guide
    2. 02

    3. 03

      Operating permissions

Complete the permissions and premises requirements for the actual activity.

      Check your sector

Changing ownership later? Plan the relevant registration and company-record amendments. Restricted activities also require prior approval for ownership changes under the Investment Law.

    Supporting questions

Can a foreigner own 100% of a company in Saudi Arabia?

Yes, where the investor and activity meet the relevant conditions. Full ownership is not a blanket entitlement across every activity or investor type.

Do I need a Saudi partner for a consulting company?

First identify the actual consulting profession and registration route. Mixed professional-company conditions differ from specialist foreign-owned routes. Do not assume all management, engineering and legal services have the same ownership rules.

Does a Saudi residence permit allow me to open a business?

Not by itself. Confirm your investment eligibility, residence category and selected activity. Premium Residency has specific treatment; ordinary residency should not be treated as equivalent.

Is there one minimum capital for all foreign-owned companies?

No single figure answers every case. Check the company form, investment category and activity conditions. Capital is also different from registration fees and operating expenses.

Can I change ownership after incorporation?

Use the applicable amendment process and check investment and sector conditions first. A restricted investment can require approval before its ownership changes.

    Common assumptions to check

Assumption: An available activity means any investor can own it fully.

What to check: Investor eligibility and activity conditions must both be satisfied.

Assumption: Every professional service has the same Saudi-partner rule.

What to check: Mixed professional-company conditions and specialist foreign-owned routes are different. Check the precise profession.

Assumption: Investment registration lets the business operate immediately.

What to check: Complete company formation and the permissions required for the actual activity before operating.
