    Company formation in Saudi Arabia

    Your business in Saudi Arabia.
Let’s take it step by step.

See what you need, what happens next and how DuVolks can help—from your first idea to a company ready to work.

Who can own it?What do I need? What will it cost?
An ivory paper path leads through an open doorway with a lime inner face.

    01 / Your starting point

First, the owners. Then, the activity.

Open your situation to see the first check. Your route depends on the actual owners and proposed work.

Foreign companyYou already run a company outside Saudi Arabia.

MISA investment registration is part of the foreign-company route. Check the business activity, owners and company records before preparing the application.

First discussion: What does the company do, who owns it, and which records are available?

    Discuss your Saudi company setup

Foreign individual or Saudi residentYou want to own a business, but do not have an overseas company.

An ordinary residency permit is not, by itself, permission to own and operate the proposed business. Start with a route assessment; do not buy a company or arrange papers on an assumption.

Entrepreneur registration is a specific route to assess, not a general option for every small business.

Premium Residency holderYou hold Saudi Premium Residency.

MISA identifies Premium Residency holders as eligible applicants for investment registration. Its FAQ exempts them from the foreign-company registration and financial-statement documents; activity conditions still matter.

Saudi citizenYou are establishing a Saudi-owned business.

Choose the activity and legal form, then check the applicable incorporation conditions and sector approvals. The requirements for an establishment and a company are not identical.

First discussion: Will you own it alone or with partners, and what work will it do?

GCC citizenYou are a citizen of another GCC country.

MISA explains that GCC citizens receive the applicable Saudi treatment and apply through the Ministry of Commerce. Activity-specific conditions still need checking.

GCC-owned companyYour company is fully owned by GCC nationals.

Check the full ownership chain. A company registered in a GCC country is not necessarily GCC-owned; foreign ownership within it can change the route.

Compare legal forms & ownership references

    Your idea, in plain English

What will customers pay you to do?

You do not need an activity code to start the conversation.

“I want to import furniture and sell it to hotels.”

The product, your customers and how you will sell it.

    Illustrative examples—not eligibility results.

Bring three things: your idea, the proposed owners and what you have today.

    Find your activity

    02 / Your documents

    Four records.
    One confirmed checklist.

For an overseas-company setup. Other ownership routes need their own document check.

Proof that the overseas company exists
Its registration certificate, sometimes called a CR or Certificate of Incorporation.
    The company’s rules
Its Memorandum or Articles of Association: who owns it and how it is run.
    The company’s financial records
Financial statements showing its finances. We check the period and form required.
Permission to act for the company
A Power of Attorney, where needed, lets an authorised person do agreed work on its behalf.

Before paying for papers: confirm the signers, the required Apostille or Saudi-mission attestation route, and any Arabic translation. We check the exact list for your case.

Attestation or Apostille: which route applies?

Apostille route: Where the Apostille Convention applies between the issuing country and Saudi Arabia, an eligible public document is authenticated by the issuing country’s designated authority. The Apostille replaces embassy or consulate legalisation.

Attestation route: Where the Convention does not apply and legalisation is required, complete the issuing country’s official certification steps, including its Ministry of Foreign Affairs, followed by the Saudi embassy or consulate. Prior notarisation or other checks may be needed.

DuVolks checks the issuing country, document type and receiving authority’s requirements, including any exemption or translation needed. Confirm the route before paying for stamps or translations.

Read the Apostille Convention explanation ↗ and MISA document guidance ↗.

I don’t have a company abroad. What should I do?

Start by checking how you can own the proposed Saudi business. Where it fits, we can help with setting up a company abroad and preparing its papers. Having that company alone does not mean you qualify in Saudi Arabia.

Document guidance: MISA FAQ ↗ · checked 19 September 2026. Requirements vary by applicant and activity.

    03 / Register the company

    A clear sequence. Agreed responsibilities.

The overseas-company example below. Required preliminary sector approvals must be addressed at the appropriate stage.

The route, at a glance Open a step to see who does what.

01Agree the business and its ownersWhat it does. Who owns it. Who runs it.

Choose a company structure that fits the work and the owners. For example, a new company and a branch of an overseas company need different checks.

    You

Explain the plan and the people involved.

    DuVolks

Helps you understand which setup to check and what it needs.

02Apply for investment registrationThe MISA step, where applicable.

For the relevant foreign-investment setup, the MISA registration comes before Commercial Registration and the other licences needed to work.

    MISA

Reviews the application and makes the decision.

03Reserve the trade name and prepare the company papersChoose the registered business name, then approve the company’s rules.

Your trade name is the name registered for the business. Prepare preferred names; we check the reservation rules and submit the agreed request. A similar existing name may prevent acceptance.

Then review the company papers: owners, their shares, managers and signing powers. Name reservation does not replace this step.

    You

Choose preferred names and approve the ownership and management details.

You may hear “Articles of Association”: the company document that sets out its rules and how it is run.

04Get the Commercial RegistrationOften called the CR: the official business record.

Check the company details on the issued records. Then list what is still needed before the business starts work.

    What you have

    The company’s registration records.

    What comes next

Banking, people, premises and any remaining approvals.

MISA is the investment step—not the whole setup. For the relevant foreign-investment route, it comes before the company’s Commercial Registration. Operating permissions are separate.

    New to MISA?

MISA is Saudi Arabia’s Ministry of Investment. The updated Investment Law replaced foreign-investment licensing with registration; you may still hear “MISA licence”.

    Official MISA explanation ↗ · checked 19 September 2026.

Timing: ask for separate estimates for preparation, registration and readiness to operate. Bank, visa and permission checks can finish at different times.

    04 / Plan the cost

    Know what is included.
    And what comes later.

Your proposal should separate these costs. A registration charge is not the total cost of starting a business.

Helping an events business establish its Saudi companies

DuVolks completed several company setups, coordinating foreign shareholders, documents and business activities. We also converted an existing Saudi-owned establishment into a company with foreign participation, retaining its Commercial Registration and Saudi shareholder.
